Sponsor Agreement

1. Parties

This partnership agreement ("Agreement") is between the operator of maalataanko.fi (JPSTech Solutions, business ID 2317443-3, "Service Provider") and the sponsor registered in the portal ("Partner").

2. Subject matter

The Partner purchases surface-category sponsorship visibility on maalataanko.fi. Sponsorship does not affect the service's weather condition evaluations or thresholds.

3. Tiers and visibility

  • Exclusive — sole sponsored brand in the category. "Recommended partner" badge, priority visibility, contextual recommendation.
  • Priority — sponsored alongside others. "Sponsor" badge and product image display.

Non-sponsored products always appear after sponsored products in alphabetical order. Per the Consumer Protection Act (38/1978, Ch. 2 §4), the Service Provider labels all commercial content clearly for end users.

4. Season, pricing, and payment

Sponsorship is sold per season (May–September). Prices are confirmed in the order summary.

  • Exclusive: €1,190 / category / season (excl. VAT)
  • Priority: €490 / category / season (excl. VAT)

Prices exclude VAT. VAT is added per the VAT Act (1501/1993). The reverse charge mechanism applies where applicable for EU-based Partners.

Payment: 14 days net. Late interest per the Interest Act (633/1982). Late payment entitles the Service Provider to a fixed compensation of €40 (Act 30/2013, §7) and collection costs.

5. Rights and obligations

Partner:

  • Grants the right to use product names and published technical data in the service for the contract period
  • May provide product images and a logo — usage rights valid for the contract period
  • Approves brand visibility before publication and is responsible for the accuracy of provided materials

Service Provider:

  • Maintains sponsorship visibility for the agreed period and removes Partner materials within 30 days after it ends
  • Retains full editorial control over condition evaluation and non-commercial content
  • Does not guarantee click or impression volumes — sponsorship is a placement
  • Provides access to impression and click reports in the portal
  • Targets 99% monthly availability (excl. scheduled maintenance). If below, the Partner is entitled to a pro-rata credit for that month

6. Confidentiality

The details of this Agreement (pricing, terms) are confidential. Either party may disclose information to the extent required by law, accounting, or legal counsel.

7. Limitation of liability

The Service Provider's liability is limited to sponsorship fees paid for the relevant period. No liability for indirect damages. Temporary interruptions (maintenance, technical issues, force majeure) do not create liability.

Force majeure means an unforeseeable event beyond the parties' control, such as natural disaster, government order, or widespread infrastructure failure. If force majeure persists for more than 30 days, the Partner may terminate and receive a pro-rata refund for the remaining period.

8. Termination

  • Before season start: cancellation at no cost
  • During the season: agreement runs for the full period — no refunds except as provided in clauses 5, 7, and 9
  • Immediate termination if the Partner provides misleading or unlawful material
  • Material breach: 14 days' written notice to registered email, unless remedied within the notice period

9. Amendments

The Service Provider may update these terms. Material changes require 30 days' email notice and the Partner's explicit acceptance. If the Partner rejects a material change during a paid period, the Partner may terminate and receive a pro-rata refund for remaining full months.

10. Personal data and governing law

Personal data processing is described in the privacy policy (GDPR, Data Protection Act 1050/2018). This Agreement is governed by Finnish law. Disputes are resolved by negotiation, failing which in the Helsinki District Court.

11. Contract formation

The Agreement is formed when the Partner confirms the order in the portal and the Service Provider sends an order confirmation by email. Order confirmation constitutes an electronic signature (eIDAS, EU 910/2014, Art. 25).
